BUSINESS LAW / GOVT. GRANTS & LOANS

A commercial law firm must be able to provide small businesses with effective and nimble solutions within a reasonable budget, especially in the era of the COVID-19 coronavirus.

Small Business Solutions in the Era of COVID-19

The Nissenbaum Law Group stands ready to vigorously defend the interests of businesses that have been whipsawed by the coronavirus pandemic. This crisis has hit small businesses particularly hard because so many of them tend to be undercapitalized. The sorts of legal work that our small business clients need include:

  • navigating the confusing and often overlapping requirements of the federal (CARES, PPP, etc.) and state loan and grant programs;
  • responding to the changing landscape of employment law; post-employment benefits law; furloughs, healthcare, and other workforce-related issues;
  • business succession planning and the manner in which it relates to estate planning (which is often handled by co-counsel who is drafting your family’s wills); and
  • addressing the myriad issues that can arise in the midst of such an unanticipated and serious global crisis.

Small Business Solutions in the Era of COVID-19

In addition to the acute problems facing all of us in this uncertain era, the Nissenbaum Law Group also generally works with its clients to find creative and cost-effective solutions for the long haul. The firm endeavors to work in a manner that is both efficient and cost-effective.

The Nissenbaum Law Group typically can offer small businesses the following services through an alternative flat fee structure.

  • Forming and registering the entity in New York, New Jersey, Pennsylvania or Texas;
  • Obtaining the tax identification number for the entity;
  • Drafting corporate bylaws or an operating agreement for the new entity;
  • Drafting a set of organizational resolutions for the initial action by the limited liability company’s members or the corporation’s board of directors;
  • Issuing membership certificates for a limited liability company or shares for a corporation;
  • Completing the ownership ledger;
  • At the client’s request, providing a new business checklist that outlines a non-exclusive list of issues that most new businesses need to address

The firm charges hourly billable legal fees for most of the other services it provides. However, it is also flexible in working within the client’s financial limitations. For example, in appropriate circumstances, the firm can provide a discounted billable structure tailored to the client’s needs. Some of the legal services the firm offers in the area of advising business entrepreneurs include:

  • Drafting corporate bylaws or an operating agreement for the new entity;
  • Filing copyrights and trademarks to protect the business’s intellectual property;
  • Preparing customer agreements, distributor agreements, website terms and conditions and Privacy policies;
  • Preparing employment agreements, manuals and surrounding documentation;
  • Assisting with collection of small accounts receivable;
  • Reviewing financing documentation for commercial loans;
  • Providing general commercial law advice and guidance.
