CONTRACTS & TRANSACTIONS FOR MIDDLE EAST AND NORTH AFRICAN (MENA) BUSINESS CLIENTS IN THE U.S.
Our firm seeks to provide for the legal needs of Middle Eastern and North African (MENA) business clients in the United States, with a particular focus in New York, New Jersey, Pennsylvania and Texas. Our aim is not just to advise our firm’s clients respecting both the legal aspects of structuring and documenting the client’s transaction, but also how it will impact the underlying business deal points.
A Focus on the Legal Aspects of Complex Contracts and Business Deals
The Nissenbaum Law Group has a commercial transactional practice—what is generally referred to as “corporate law”—in New Jersey, New York, Pennsylvania and Texas. The firm’s approach is straightforward: it strives to accurately and thoroughly prepare the underlying documentation while keeping in mind the larger context, such as the practicalities for the client’s contract compliance and regulatory enforcement; the limitations of loan financing facilities; and the legal guardrails for allowable competition in the client’s industry that does not run afoul of U.S. antitrust laws. In short, the firm strives to view transactions from all aspects.
This type of legal representation is particularly important for clients that come from the Middle East and North Africa (MENA) and have located in the United States. In addition, it is important to note that our firm employs Salma A. Attia, Esq. who is fluent in Arabic as an of counsel attorney.

To be clear, any such legal representation may also involve other attorneys and paralegals of our law firm; we work as a team. However, some of the initial communication with a potential client that has operated in such countries as Saudi Arabia, the UAE, Qatar, Kuwait, Bahrain, Oman and Egypt but is now in the process of entering the domestic United States market could begin with an attorney who speaks that language. Having said that, our firm will often require that clients which do retain us appoint an individual(s) who speaks both English and Arabic and can act as a liaison between our firm and those within the client’s infrastructure who do not speak English.
In sum, our firm’s corporate practice runs the gamut from contract drafting to the purchase or sale of a business; from copyright and trademark filings to entertainment law deals; from licensing issues to administrative agency investigations and audits.
The Nissenbaum Law Group represents its clients in a wide variety of commercial transactions such as the following:
- Corporate and LLC resolutions and corporate bylaws and LLC operating agreements
- Shareholder agreements and stock pledge agreements
- Sale and purchase agreements for transferring ownership of the business
- Employment, severance and restrictive covenant agreements
- Distribution agreements
- Promissory notes, security agreements and applicable UCC filings
- Intellectual property licensing and assignment agreements
- Corporate Governance documentation
- Corporate Real Estate agreements
- Commercial Leases
- Occupational Licensing agreements
- Legal issues relating to the use of artificial intelligence
- Trademark and Copyright filings and assignments
- Invoice payment terms and conditions
Often, the most important thing is to have a trusted advisor who will listen to a client’s concerns with appropriate openness and strategic thought, so as to come up with an approach that has a reasonable chance of being effective. Whether a client’s needs involve our litigation team, transactional team, or legal advice generally, our law firm philosophy is to utilize empathy in the representation and find a way to resolve legal problems with the least necessary rancor and divisiveness. All in all, our firm stands ready to assist select clients with their commercial law needs in either New York, New Jersey, Pennsylvania or Texas.
